Consultancy Terms

These Terms govern the strategic consultancy relationship between Brazil Shores Realty and its clients. By engaging our services, the client declares having read, understood, and fully accepted the conditions set forth herein.

1. Scope of Service

Brazil Shores Realty acts exclusively as a Strategic Consultant and facilitator, providing a qualified bridge between foreign investors and curated opportunities in João Pessoa's high-end real estate market. Our services encompass: meticulous curation of properties in João Pessoa; advisory support on the legal and regulatory environment for foreign investors; presentation of off-market opportunities; and consultative guidance throughout the due diligence process. Brazil Shores Realty does not act as a securities broker, wealth manager, or legal advisor. All contractual and legal formalities must be conducted by duly qualified attorneys and professionals.

2. Confidentiality and Non-Disclosure Agreement (NDA)

All information exchanged between the parties — including, but not limited to, the investor's personal data, wealth details, capital allocation strategies, and information on exclusively presented properties — is considered strictly confidential. Brazil Shores Realty commits to not disclosing any information to third parties without prior, express consent from the client. This confidentiality commitment is reciprocal and remains in force for a period of 5 (five) years following the termination of the consultancy relationship, and may be formalized through a specific NDA instrument at the client's request.

3. Limitation of Liability

Brazil Shores Realty applies the utmost rigor in curating and presenting investment opportunities. However, the real estate market is subject to economic, cyclical, and regulatory variations beyond our control. Under no circumstances shall Brazil Shores Realty be held liable for investment decisions made by the client, market fluctuations, exchange rate variations, acts of third parties — including sellers, notaries, or financial institutions — or any financial losses arising from completed transactions. The final investment decision is exclusively and non-transferably the client's own.

4. Fees and Compensation

The compensation structure of Brazil Shores Realty is transparent and agreed upon in advance between the parties. It may be configured as fixed consultancy fees, a success commission on completed transactions, or a hybrid model, depending on the nature and complexity of the services rendered. All amounts will be formalized in a specific contractual instrument prior to commencement of work.

5. Jurisdiction and Applicable Law

These Consultancy Terms are governed entirely by the laws of the Federative Republic of Brazil. Any disputes, controversies, or litigation arising from the consultancy relationship shall be submitted to the jurisdiction of the Court of the District of João Pessoa, State of Paraíba, with express waiver of any other, however privileged it may be.
